Legal Counsel – AI & Quantum

About the role

Qutwo, Europe's private Quantum AI Lab, is looking for its first in-house lawyer to build a legal function that scales with the business. The role is based in Helsinki, which is the preferred location. Each team owns the legal requirements in its own area, and Legal provides the tools, resources and specialist support needed.

Key responsibilities

• Build the contract framework: templates, a contract playbook with clear thresholds, the contract repository and signing process, and negotiate non-standard and strategic agreements.
• Handle corporate and financing matters: board and shareholder documentation, share issues, (convertible) loan agreements, the stock option program, cap table management and group structure.
• Ensure GDPR compliance and data processing agreements, and prepare for the EU AI Act.
• Support employment contracts, cross-border employment, IP assignment and invention arrangements.
• Design and run the legal function on AI from day one: select and deploy legal AI platforms such as Legora or Harvey, and build reusable skills, prompts and playbooks for contract review, NDA triage and due diligence.
• Support M&A transactions, including due diligence and transaction documents with external counsel, and post-closing legal integration.
• Select and manage law firms, own the legal budget, maintain a legal risk register and report regularly to management and the Board.

Required profile

• Masters of Laws (OTM or equivalent) and 8+ years of experience in a leading law firm and/or in-house at a technology company.
• Strong track record in commercial contracting for software, SaaS or technology licensing.
• Experience in corporate law and venture financing, including the Finnish Companies Act, share issues, option programs and convertible instruments.
• Experience working in an international setting and coordinating foreign counsel.
• Excellent written and spoken English.
• Nice to have: exposure to M&A on the buy side, background in AI, deep tech or quantum computing, experience deploying legal tech or building a legal function from scratch in a scale-up.

Required skills

• Hands-on experience using AI in legal work (e.g. Legora, Harvey or general-purpose LLMs).
• Ability to make sound judgement with incomplete information and to build structure where none exists.
